Test Product Terms of Service

Thank you for your interest in testing Deputy’s beta, or other pre-release features, services or software (Test Products)! We really appreciate your participation and feedback.
1. What are these Terms?
These Test Product Terms of Service (Terms) supplement the agreement between you and Deputy under which we provide our software-as-a-service workforce management offering (Agreement) and describe the terms under which we may offer you access to and use of Test Products. Capitalized terms used but not defined in these Terms have the meanings given to them in the Agreement. We periodically update these Terms by posting a revised copy at deputy.com/terms, so please check back here for current information.
2. What to expect from us
2.1. Test the Test Products! You may access and use (on a non-exclusive and non-transferable basis) Test Products solely for your internal evaluation purposes. You are not permitted to make them available to or use them for the benefit of any third-party.
2.2. Test Products might contain bugs, errors or defects. Test Products are not yet ready for commercial release and may contain bugs, errors or defects. They are provided to you on an “as-is” and “as available” basis, and your access to and use of them is at your own risk.
2.3. We’re not responsible. To the extent permitted by Applicable Law, we expressly disclaim all and you will receive no warranties, indemnities or conditions of any kind for Test Products. Test Products are excluded from our support and service level obligations as well as our data and security commitments.
2.4. Changes to Test Products. We may change or discontinue Test Products at any time without notice. We may choose not to make a Test Product generally available or to make it generally available in a substantially different form or manner to which it is made available under these Terms. Nothing in these Terms gives you the right to use a commercially released version of a Test Product. If we release a commercial version of a Test Product, any use by you of that product will be subject to a separate written agreement between us (including payment of any applicable fees).
3. What we expect from you
3.1. Give us your feedback. In exchange for access to and use of our Test Products, you agree to provide us with your written or oral feedback relating to Test Products such as ideas you may have for enhancements or any other information you think may be relevant (Feedback). You agree that we own the intellectual property rights in your Feedback and will have an unconditional right to use your Feedback to improve, develop and market Test Products.
3.2. Confidentiality. Non-public information about Test Products is considered the Confidential Information of Deputy. You are required to keep this information confidential in accordance with the terms of the Agreement.
4. Other important stuff
4.1. Conflicts. Notwithstanding anything to the contrary in the Agreement, in the event of any conflict between the Agreement and these Terms, these Terms will govern with respect to Test Products.
4.2. LIMITATION AND EXCLUSION OF LIABILITY. NEITHER OF US WILL BE LIABLE FOR ANY DIRECT OR INDIRECT DAMAGES UNDER THESE TERMS OR IN CONNECTION WITH TEST PRODUCTS, INCLUDING BUT NOT LIMITED TO ANY LOST PROFITS, LOSS OF DATA, LOST SAVINGS, BUSINESS INTERRUPTION OR ANY INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES IN CONNECTION WITH TEST PRODUCTS. OTHER THAN LIABILITY THAT WE CAN’T EXCLUDE BY LAW, OUR LIABILITY IN CONNECTION WITH TEST PRODUCTS IS LIMITED TO US$100.
4.3. AUTHORITY. BY ACCESSING OR USING TEST PRODUCTS, YOU WARRANT AND REPRESENT THAT YOU ARE OVER 18 YEARS OF AGE AND HAVE THE AUTHORITY TO BIND CUSTOMER TO THESE TERMS.
4.4. Governing Law. These Terms are governed by the laws of, and we both submit to the exclusive jurisdiction of the courts of, the jurisdiction stated in the Agreement.
